Official Rules

NO PURCHASE NECESSARY. A PURCHASE DOES NOT IMPROVE YOUR CHANCE OF WINNING. ONLY LEGAL RESIDENTS OF THE UNITED STATES (EXCLUDING PUERTO RICO) employed by or a controlling partner in a corporate entity or an organization headquartered within the 48 contiguous states of the United States of America ARE ELIGIBLE TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR REGULATION

ELIGIBILITY: This Ugly Web Site Contest (the "Contest") is open only to legal residents of the U.S. (except Puerto Rico) who are 18 years of age or older on the date of entry. Legal residents must also be employed by or a controlling partner in a corporate entity or an organization with a minumum of four (4) employees and headquartered within the 48 contiguous states of the United States of America. The Contest is sponsored by Zazen Digital Studios (the Sponsor) and no officers, directors, employees, and agents of Sponsor or its affiliates, subsidiaries, their suppliers, contractors, advertising and promotional agencies and/or members of their immediate families and persons living in the same household ("Affiliates") are eligible to enter or win.
TO ENTER: Visit www.uglywebsitecontest.com to enter the URL of the nominated web site. For participants entering through this method, normal Internet access and usage charges imposed by participants' on-line services and the Sponsor will apply. Entries will be received midnight October 1, 2007, through midnight December 31, 2007. Limit one entry per person regardless of the method of entry. No mechanically reproduced entries or facsimiles allowed. Sponsor is not responsible for malfunctions of electronic equipment, telephone networks or lines, computer hardware or software, or lost, late, illegible, mutilated, incomplete, misdirected entries or for any other technical problems related to the Internet or web sites. Sponsor reserves the right to modify, suspend or terminate the Contest at any time in the event that there is any evidence or suspicion of any tampering, unauthorized intervention, fraud or any other failures which could affect the intended conduct of the Contest as described in these Official Rules. Sponsor reserves the right to disqualify anyone who interferes with or tampers with the entry process or any other aspect of the Contest or fails to comply with any term or condition of these Official Rules. In the event of a dispute regarding identity, entries will be deemed made by the person in whose name the e-mail or Sponsor account from which the entry was submitted is registered. Entries become the property of Sponsor and will not be returned.
DRAWING: From all valid entries received, ten (10) potential winners will be selected based on the results of a popular vote at www.uglywebsiteContest.com. From these ten Contest finalists, one (1) Grand Prize winner will be selected by an independent panel of web professionals, professors of web and Internet disciplines, and a licensed psychologist. This independent panel nor any of its members have any personal interest in the outcome of the Contest. All determinations and decisions of the Sponsor shall be final and binding on all matters relating to the Contest. The Grand Prize winner will be notified by email, and will, except to the extent prohibited by law, be required to sign and return an Affidavit of Eligibility/Liability and Publicity Release which must be received by Sponsor within 14 days of notification of selection as a Grand Prize winner or the prize concerned will be forfeited and an alternate Grand Prize winner selected from the remaining eligible entries. Return of any notification as undeliverable will also result in disqualification and selection of an alternate Grand Prize winner.
PRIZES & ODDS OF WINNING: The Grand Prize winner will be receive one (1) suite of web and visual communication services including visual identity and branding consultation, printed identity and branding guidelines, logo redesign or refresh, letterhead and business card redesign, web site redesign and development, one thousand (1,000) custom, full-color postcards, one thousand (1,000) custom, full-color tri-fold brochures, and paid submission to the Webby Awards. The estimated retail value of the Grand Prize is $10,000 U.S. dollars. Prizes may not be transferred, exchanged or substituted by the Winner, however, the Sponsor reserves the right to substitute a prize of equal or greater value, in its sole discretion. Odds of winning depend on the number of eligible entries received. The Sponsor is not responsible if any prize winner is unable to accept or use all or any portion of the prize due to failure to qualify or comply with these Official Rules or any law, regulation or other rules which apply to their acceptance, receipt or use of the prize award.
GENERAL: By entering, participating and/or accepting a prize, each entrant agrees: to release Sponsor and its Affiliates from all liability, loss or damage arising out entry, participation or selection in the Contest and/or the awarding, receipt, possession, use and/or misuse of the prize; to be bound by these Official Rules that the determinations and decisions of the Sponsor are final and binding on all matters relating to the Contest; and to the use of his or her name, photographs, likenesses, biographical information, and city and state of residence for advertising, trade and promotional purposes in all media worldwide (including online) in perpetuity without additional compensation, except to the extent restricted or prohibited by law. By accepting a prize, winners agree to release the Sponsor and its Affiliates from any and all liability, loss damage, personal injury, death or expense arising from or in conjunction with the awarding, receipt and/or use or misuse of any prize or participation in this Contest. All applicable federal, state, provincial and local laws and regulations apply. Each winner is responsible for all taxes.
DISPUTE RESOLUTION; LIMIT OF LIABILITY: By entering or participating in the Contest or accepting the prize, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded, other than the administration of the Sponsor the determination of winners, which is in the sole and exclusive discretion of the Sponsor, shall be resolved without resort to any form of class action, and exclusively by the State courts of the State of Michigan, County of Oakland or the Federal court therein; (ii) any and all claims, judgments and awards to you shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys' fees or costs; and (iii) under no circumstances will you be permitted to obtain and you hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
VIOLATION OF RULES OR LAWS: Any attempt to damage or undermine the conduct or operation of the Contest or intercept or interfere with the Contest, any entries and/or the prizes, may be a violation of criminal and civil laws and the Sponsor reserves the right to seek damages and pursue any and all remedies available, to the fullest extent of the law. The delay or failure of Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of any kind.
